These Terms govern your use of DocuPOW, a product of POW IT UP, LLC. Please read them carefully before using our services.

These Terms & Conditions (this “Agreement”) govern your access to and use of DocuPOW — including the websites docupow.ai and app.docupow.ai, and the document intelligence and process-automation services offered through them (together, the “Service”) — and form a legally binding contract between you and POW IT UP, LLC (“POW IT UP”, “we”, “us”, or “our”). DocuPOW is a product of POW IT UP, LLC.
Please read this Agreement carefully. It includes a binding arbitration provision and a class-action waiver (Section 15) that affect how disputes between you and POW IT UP are resolved, and a limitation of liability (Section 13).
1. Acceptance of this Agreement
By creating an account, logging in, or otherwise visiting, accessing, subscribing to, or using the Service, you accept the most recent version of this Agreement. If you are using the Service on behalf of an organization, you represent that you are authorized to bind that organization, and “you” refers to that organization. If you do not accept this Agreement in its entirety, you may not use the Service.
We may modify this Agreement from time to time. Modifications will be posted on this page (or emailed to the address you provide) and take effect on their stated effective date. Material changes will be communicated before they take effect. Your continued use of the Service after a change becomes effective constitutes acceptance of the modified Agreement.
2. Eligibility
The Service is offered only to users who are eighteen (18) years of age or older (or the age of majority in their jurisdiction). You agree to comply with all applicable laws and to use the Service only for lawful purposes.
3. Privacy
Our collection and use of personal information and Customer Documents is described in the DocuPOW Privacy Policy, which you should review. By using the Service, you consent to the practices described there.
4. The Service
DocuPOW provides agentic document intelligence and process automation, including template-free (Zeroshot) extraction, workflow automation (DocuPOW Flow), the Infinity assistant, and delivery of structured data to systems you designate. We may change, add, or remove features of the Service from time to time at our discretion. Certain features may be available only on certain plans. Any custom development or professional services will be governed by a separate written agreement.
5. Accounts and security
You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us promptly of any unauthorized use or suspected security breach. You are responsible for obtaining and maintaining the devices, software, and network access needed to use the Service; any carrier or network fees are your responsibility.
6. Customer Documents and intellectual property
- Your data stays yours. You retain ownership of the documents and data you upload to the Service (“Customer Documents”). You grant POW IT UP a worldwide, non-exclusive, royalty-free license to host, use, reproduce, and process Customer Documents solely to provide and support the Service and as directed by you. We do not use Customer Documents for advertising, and we do not sell them.
- Our platform stays ours. The Service and all of its original content, features, functionality, source code, models, documentation, and derivatives are owned by POW IT UP, LLC or its licensors and are protected by copyright, trademark, patent, trade-secret, and other intellectual-property laws. Subject to this Agreement, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service. No rights are granted except as expressly stated, and unauthorized use or any breach of this Agreement automatically terminates this license.
- Feedback. If you submit feedback, suggestions, or testimonials about the Service (which do not include Customer Documents), you grant us a perpetual, irrevocable, royalty-free license to use them to operate, improve, and promote the Service. This license is limited to such feedback and never extends to your Customer Documents.
7. AI outputs and your responsibility
The Service uses artificial intelligence to read, classify, and extract information from documents and to automate workflows. AI outputs — including extracted fields, confidence scores, and assistant answers — may contain errors and are provided to support, not replace, your judgment. You are responsible for reviewing outputs (including through the Service’s human-in-the-loop review features) before relying on them for business, financial, legal, tax, or compliance decisions.
8. Subscriptions, credits, and payment
- Credit model. Paid plans include a monthly credit allowance (for example, one processed page consumes one credit); additional usage — such as API calls, Infinity queries, and document storage — may also consume credits at the rates published on the pricing page. Unless your plan states otherwise, unused monthly plan credits do not roll over from one billing cycle to the next. Separately purchased credit packs remain available while your account is active. Current credit terms and conversion rates are described on the pricing page, which controls for specifics.
- Billing. Fees are billed in advance on a monthly or annual basis according to your selected plan. You authorize us to share your payment information with our third-party payment processors and to charge amounts you accrue. All payment processing is performed by third-party vendors, whose relationship with POW IT UP is contractual only.
- Accurate information. You represent that payment information you provide is current, complete, and accurate, and you will promptly update it if it changes.
- Refunds. Except as expressly stated in this Agreement or required by applicable law, all fees are final and non-refundable, including for partial subscription periods and unused credits. You may cancel an annual plan at any time to prevent its renewal; cancellation stops future charges but does not entitle you to a refund of fees already paid for the current term.
- Free trial. Trials provide access to the Service for the stated trial period (currently seven (7) days) without payment information. At the end of the trial, your account pauses until you select a plan; you will not be charged unless you subscribe.
- Taxes. You are responsible for all applicable taxes, duties, and similar charges on your purchases, excluding taxes on our net income.
9. Electronic communications
You consent to receive electronic messages from us related to your account and the Service, such as notices, updates, and — where permitted — commercial messages. You may opt out of marketing communications at any time by following the unsubscribe instructions or emailing info@DocuPOW.ai with the subject “Opt-Out of Electronic Communications.” Opting out of essential service notifications may affect your use of the Service.
10. Prohibited activities
You shall not, with respect to the Service: (a) impersonate any person or entity; (b) infringe or violate intellectual-property, privacy, or publicity rights; (c) reproduce the Service or create derivative works except as expressly authorized; (d) upload or publish content that is illegal, infringing, defamatory, deceptive, or abusive, or publish another person’s private information without consent; (e) supply false, misleading, or deceptive information; (f) use robots, scrapers, or other automated means to systematically retrieve or compile content or data from the Service, other than through the documented API; (g) probe, scan, or test the vulnerability of, or interfere with, the Service or its networks; (h) use the Service to build a competing product or service; or (i) resell or sublicense the Service except as expressly permitted in writing.
11. Suspension and termination
We may suspend or terminate your access to all or part of the Service if we reasonably believe you have violated this Agreement, to protect the Service or other users, or as required by law; and we may modify or discontinue features of the Service at our discretion. You may terminate by closing your account. Upon termination, your license to use the Service ends. For thirty (30) days after termination, you may request export of your Customer Documents; after that period, we may delete them in the ordinary course, subject to any legal retention obligations. Sections that by their nature should survive termination (including Sections 6, 7, and 12 through 16) survive.
12. Disclaimer of warranties
The Service is provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that outputs will be accurate or complete. No advice or information obtained from the Service creates any warranty not expressly stated in this Agreement.
13. Limitation of liability
To the fullest extent permitted by law, in no event shall POW IT UP, LLC or its officers, employees, or agents be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages — including lost profits, lost data, lost goodwill, or business interruption — arising out of or relating to your use of the Service, whether based in contract, tort, or any other theory, even if advised of the possibility of such damages. To the fullest extent permitted by law, POW IT UP’s total aggregate liability arising out of or relating to this Agreement or the Service shall not exceed the greater of (a) the total fees you paid to POW IT UP in the twelve (12) months preceding the event giving rise to the claim, or (b) one hundred U.S. dollars (US$100). Some jurisdictions do not allow certain of these limitations, so some may not apply to you.
14. Indemnification
You agree to indemnify, defend, and hold harmless POW IT UP, LLC and its officers, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising from or relating to your Customer Documents, your use of the Service in violation of this Agreement, or your violation of any law or third-party right.
15. Dispute resolution; arbitration; class-action waiver
Please read this section carefully — it affects your legal rights, including your right to bring a lawsuit in court and to have disputes heard by a jury or as part of a class action.
- Informal resolution first. Before starting an arbitration, you and POW IT UP agree to try to resolve the dispute informally by sending written notice to the other party and negotiating in good faith for at least thirty (30) days. Notice to POW IT UP should be sent to info@DocuPOW.ai.
- Binding arbitration. If the dispute is not resolved informally, it shall be resolved by final and binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, before a single arbitrator, seated in Dallas, Texas. Judgment on the award may be entered in any court of competent jurisdiction.
- Jury-trial waiver. You and POW IT UP each waive any right to a jury trial in any dispute arising out of or relating to this Agreement or the Service.
- Class-action waiver. Disputes will be resolved only on an individual basis. You and POW IT UP waive any right to bring or participate in a class, collective, consolidated, or representative action. The arbitrator may not consolidate more than one person’s claims.
- Carve-outs. Either party may bring an individual claim in small-claims court, and either party may seek injunctive or other equitable relief in court to protect its intellectual property or confidential information.
- 30-day opt-out. You may opt out of this arbitration and class-waiver provision by emailing info@DocuPOW.ai with the subject “Arbitration Opt-Out” within thirty (30) days of first accepting this Agreement. Opting out does not affect any other provision of this Agreement.
16. Governing law
This Agreement is governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict-of-laws principles. Subject to Section 15, the state and federal courts located in Dallas County, Texas shall have exclusive jurisdiction over any dispute not subject to arbitration.
17. General
This Agreement, together with the Privacy Policy and any plan-specific or separately signed terms, is the entire agreement between you and POW IT UP regarding the Service and supersedes prior agreements on that subject. If any provision is held unenforceable, the remainder stays in effect and the unenforceable provision will be modified to the minimum extent necessary. Our failure to enforce any provision is not a waiver. You may not assign this Agreement without our prior written consent; we may assign it in connection with a merger, acquisition, reorganization, or sale of assets. Neither party is liable for delays or failures caused by events beyond its reasonable control. Notices to you may be provided through the Service or to the email associated with your account.
